We prefer our customers utilize our website maintenece programs as we build our sites with the latest software and guidelines when it comes to updates and best practices in the web development industry. Should you decide to make your own updates we can no longer support any items that go missing or do not work as intended on desktop, mobile or tablet devices and may have broken links, missing images, or effect SEO in regards to loading speed and Google algortihims.
Website Self-Maintenance Agreement
This Website Self-Maintenance Agreement ("Agreement") is made effective as of submission of this form.
1. Services Provided
The Company will provide the Client with access and permissions to perform updates and changes to their own website. Which was designed and developed by Edge Agency, LLC.
2. Client Responsibilities
The Client agrees to:
Take full responsibility for any changes, modifications, or updates made to the website.
Maintain a backup of the website prior to making any changes.
Ensure that any modifications comply with applicable laws and do not infringe on the rights of any third parties.
Notify the Company immediately if any issues arise that require professional intervention.
3. Limited Liability
The Client acknowledges and agrees that:
The Company is not liable for any errors, malfunctions, or issues that arise from changes made by the Client.
Any corrections or troubleshooting required due to Client modifications will be billed at the Company’s standard hourly rate.
The Company is not responsible for any loss of data, revenue, or business due to changes made by the Client.
4. Indemnification
The Client agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with:
The Client's use of the website.
Any changes or modifications made by the Client.
Any breach of this Agreement by the Client.
5. Termination
This Agreement may be terminated by either party upon thirty (30) days' written notice. Upon termination, the Client's access to make changes to the website will be revoked, and any further modifications will need to be requested through the Company’s standard service procedures.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of CT & MA, without regard to its conflict of laws principles.
7. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.
Payments/Invoices
This SMA form can be withdrawn if any invoice or payments are due and access denied until payment arrangements have been made.
